- Prohibited Actions Regarding Intellectual Property
Users are strictly prohibited from engaging in any of the following actions with respect to Lucas Health's intellectual property:- Attempting to duplicate, copy, or reproduce any portion of the Software or associated intellectual property;
- Stealing, misappropriating, or unauthorized use of any part of Lucas Health's intellectual property;
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying algorithms of the Software;
- Modifying, adapting, or creating derivative works based on the Software or any part thereof;
- Removing, altering, or obscuring any copyright, trademark, or other proprietary rights notices from the Software.

Welcome to the AI-powered Medical Assistant Software ("Software") provided by Lucas Health Corporation ("Lucas Health"). The Software is crafted to bolster both administrative and clinical operations in healthcare settings. Access to and usage of the Software is conditional upon your acceptance of these Terms of Use.
Acceptance of Terms
By registering, accessing, or using the Software, you agree to be bound by these Terms. If you cannot agree to these terms or if any representation you make here is false, you must discontinue using the Software.
Software Description and Features
The Software offers a comprehensive suite of tools to enhance healthcare operations, including:
- Interfaces for various healthcare roles.
- Patient triaging tools based on clinical data.
- Early detection systems for critically ill patients.
- Advanced speech-to-text for medical documentation.
- AI-driven prompts for detailed patient questioning.
- Data extraction for billing code generation.
- AI command execution for operational tasks.
- HIPAA-compliant patient communication methods.
- Eligibility and Registration
Eligibility to use the Software is restricted to:
Verified healthcare providers, Authorized administrative staff, and Patients under the provider’s care. Registration requires personal and professional documentation to ensure compliance with regulatory standards, including mandatory two-factor authentication.
User Obligations
Users are obligated to: Maintain patient confidentiality as per HIPAA. Secure their account information and use strong, regularly updated passwords. Use two-factor authentication. Adhere to HIPAA guidelines and complete annual training. Data Management and Privacy. We enforce stringent data protection measures: Secure data storage with U.S.-based servers. Encryption of Protected Health Information (PHI) during transmission and at rest. Two-factor authentication for accessing PHI. Compliance with Regulatory Requirements. All users and Lucas Health must comply with applicable laws and regulations, including HIPAA. It is the user's (provider's) responsibility to obtain verbal and/or written consent from patients before utilizing audio transcription services.
Access Restrictions and Usage Monitoring
Lucas Health reserves the right to limit or restrict access to the Software based on compliance with these Terms. Usage of the Software may be monitored to ensure compliance with these Terms and applicable laws.
Limitation of Liability
Lucas Health is not liable for medical decisions made using the Software. Healthcare providers must verify information accuracy.
AI-Assisted Document Creation
Documents created with AI assistance must be reviewed for accuracy. The final responsibility for content accuracy lies with the healthcare provider.
Updates and Maintenance
Lucas Health may from time to time update or perform maintenance on the Software, which may result in temporary unavailability or changes to functionality.
Conduct
Users must use the Software solely for legitimate medical and administrative purposes and adhere to medical ethics and regulations governing PHI.
Proper Use of AI System
Users are strictly prohibited from utilizing the AI system in any manner that would:
- Knowingly falsify or misrepresent information.
- Alter transcripts or documentation in a deceptive manner.
- Artificially inflate, fabricate, or otherwise manipulate billing codes, levels of service, or any other data for services not actually rendered.
By agreeing to use this Software, you affirm your commitment to adhere to the highest ethical and legal standards, ensuring that all medical documentation accurately reflects the services provided. Any misuse of the Software to engage in activities that could be construed as insurance fraud or any other fraudulent activity is expressly forbidden and will result in immediate termination of access, potential legal action, and reporting to appropriate regulatory and legal authorities.
User Feedback and Suggestions
User feedback is welcome. However, any feedback or suggestions provided become the property of Lucas Health, and Lucas Health may use this information without obligation or compensation to the user.
Intellectual Property
All intellectual property related to the Software, including algorithms, language models, and code, is owned by Lucas Health.

Any such actions constitute a violation of these Terms of Use and may subject the user to legal action. Lucas Health reserves the right to pursue all remedies available under applicable law, including but not limited to injunctive relief, monetary damages, and termination of the user's access to the Software.
Users acknowledge that any violation of this section may result in irreparable harm to Lucas Health, and that monetary damages may be inadequate compensation. Therefore, Lucas Health shall be entitled to seek immediate injunctive relief in addition to any other remedies available at law or in equity.
Dispute Resolution
Disputes will be resolved favorably for Lucas Health, potentially through binding arbitration in Delaware.
Jurisdiction and Applicable Law
These Terms shall be governed by the laws of the state of Delaware, without regard to its conflict of law provisions.
Indemnification
Users agree to indemnify and hold Lucas Health harmless against any claims, damages, or expenses arising from their use of the Software, violation of these Terms, or infringement of any intellectual property or other rights.
